1. General Information and Ownership

This document governs the use, access to and purchase of services through the Nautiza.com and Kpitanea.com websites (hereinafter, the "Platforms").

In accordance with Article 10 of Law 34/2002 of 11 July on Information Society Services and Electronic Commerce (LSSI-CE), users are informed that both the promotional portal Nautiza.com and the fleet and booking management software Kpitanea.com (hereinafter, "Kpitanea") are the exclusive property of and are managed by IBIZA TACTIC STUDIO SL (hereinafter, the "Company"), with Tax Identification Number (NIF) B21746516 and registered office at C/. Sant Miquel de Balansat Nº 6 A2, 07800 Ibiza, Balearic Islands, Spain.

Nautiza.com operates as a showcase portal and exclusive promotional channel for boat charter companies (hereinafter, the "Partners" or "Boat Owners") that use the technological management tools provided by Kpitanea.com.

2. Operating Model and Nature of the Service

Fleet Showcase: Nautiza, owned by IBIZA TACTIC STUDIO SL, brings together and promotes the fleet of vessels belonging to Partners who use Kpitanea, making it easier for users to access direct bookings.

Booking Process:

• Nautiza.com acts as a digital showcase and booking acquisition channel.
• When a booking is initiated, the process is managed through the Partner's official booking system, implemented on the Kpitanea infrastructure.
• The booking is made and formalised directly with the Partner company that owns or operates the vessel.

Booking Management:

• Nautiza and Kpitanea act solely as the infrastructure and technology platform facilitating bookings on behalf of the Partner.
• The charter agreement is entered into exclusively between the end user and the relevant Partner.

3. Terms for Partners (Boat Charter Companies / Boat Owners)

Eligibility: To be listed on Nautiza.com, Partners must maintain an active and valid subscription to the Kpitanea fleet management software. Both solutions are owned by IBIZA TACTIC STUDIO SL.

Accuracy of Information: Partners are solely responsible for keeping the availability, pricing, specifications, licences, equipment and legal status of their vessels up to date within Kpitanea. This information is automatically reflected on Nautiza.com.

Regulatory Compliance: Each Partner warrants that it holds all administrative licences, insurance policies (including third-party liability, passenger cover and bareboat or skippered charter insurance where applicable) and any other authorisations required under current maritime legislation to carry out yacht charter activities.

Service Delivery and Cancellation: The Partner assumes full responsibility for the provision of the charter service, vessel handover, customer assistance, and the application of its own cancellation and security deposit policies.

4. Terms for Users (Customers)

Direct Contracting: By making a booking through Nautiza.com or via the booking engines provided by Kpitanea, the user acknowledges and accepts that they are entering into a contract directly with the Partner company advertising the vessel (its owner or operator), whose identification details will be displayed during the booking process and in the final charter agreement.

Payments and Security (Virtual Payment Gateway): Payments are not processed by Nautiza or Kpitanea. All booking payments and security deposits are processed directly and securely through the Partner's own virtual payment terminal (TPV) or payment gateway. IBIZA TACTIC STUDIO SL neither stores nor processes users' banking or credit card details and has no access to such information.

Security Deposits and On-board Rules: Payment conditions, booking deposits, security deposits, check-in/check-out times and onboard regulations are determined exclusively by each individual Partner.

Exception to the Right of Withdrawal: In accordance with Article 103(l) of Royal Legislative Decree 1/2007 of 16 November (Spanish General Consumer and User Protection Act), the statutory 14-day right of withdrawal does not apply to contracts relating to leisure services where the contract specifies a particular date or period of performance. Consequently, boat charter bookings made for specific dates through the Platform are exempt from this right and are governed exclusively by the cancellation and refund policies established by the relevant Partner at the time of booking.

Service Responsibility: Neither Nautiza, Kpitanea nor IBIZA TACTIC STUDIO SL own the vessels or directly provide charter services. Any complaint relating to the condition of a vessel, weather-related cancellations or incidents occurring during the charter must be addressed directly to the contracted Partner.

5. Limitation of Liability

IBIZA TACTIC STUDIO SL, together with its Platforms Nautiza.com and Kpitanea.com, shall not be held liable for:

• Any contractual breach, delay, booking cancellation or damages arising between the user and the Partner.
• Errors or omissions in vessel information entered by Partners through the Kpitanea system.
• Temporary interruptions to the Platforms due to technical maintenance or events beyond reasonable control (force majeure).

6. Data Protection and Privacy

Personal data collected during enquiries or the booking process will be processed by IBIZA TACTIC STUDIO SL in accordance with the General Data Protection Regulation (GDPR) and applicable Spanish data protection legislation. As bookings are processed through Kpitanea, the information necessary for the execution of the charter agreement will be shared with the relevant Partner in order to provide the requested service.

7. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by Spanish law. Any dispute arising from the access to or use of the Platforms shall be subject to the jurisdiction of the courts corresponding to the registered office of IBIZA TACTIC STUDIO SL, unless mandatory consumer protection legislation provides otherwise.
